Please read these Terms of Service carefully before using TrueCode's AI Chatbot Platform or creating an account with us. By registering for services with TrueCode ('we', 'us', or 'our'), you ('the user' or 'you') acknowledge that you have read, understood, and accepted our Terms and Conditions of Use. We kindly ask you to review and understand these Terms carefully before using our AI Chatbot Platform.
1. Overview and Introduction
Welcome to our AI Chatbot Platform. This section provides an overview of our services and introduces the key terms that govern your use of our platform:
1.1 Platform Overview
We operate a comprehensive AI-powered chatbot platform that enables businesses to create, deploy, and manage intelligent chatbots across multiple social media channels including LINE, Facebook, Instagram, and other messaging platforms. Our platform combines advanced artificial intelligence, natural language processing, and seamless third-party integrations to deliver enterprise-grade chatbot solutions.
1.2 Key Platform Features
- AI-powered conversational interfaces with natural language understanding
- Multi-channel deployment across major social media platforms
- Real-time analytics and performance monitoring
- Enterprise-grade security and data protection measures
- Comprehensive technical support and documentation
2. Key Definitions
For clarity and consistency throughout these Terms, the following key terms are defined:
Company
TrueCode Co., Ltd., a limited company incorporated under Thai law with company registration number 0125568018161, having its registered office at Casa Condo @MRT Sam Yaek Bang Yai, Room No. 99/486, 25th Floor, Nonthaburi 11140, Thailand.
Platform
The AI Chatbot Platform operated by the Company, accessible at orca.truecode-ai.in.th and related services, including but not limited to chatbot creation tools, social media integrations, and artificial intelligence features.
Services
All services provided by the Company through the Platform, including chatbot development tools, social media integrations (LINE, Facebook, Instagram, etc.), AI-powered features, analytics, and technical support.
User
Any individual or legal entity that accesses, uses, or subscribes to the Platform or Services, including free users, trial users, and paying customers.
Third-Party Services
External platforms and services integrated with our Platform, including but not limited to LINE Official Account, Facebook Messenger, Instagram Direct, WhatsApp Business API, and other social media or communication platforms.
User Content
Any content, data, information, or materials uploaded, transmitted, or processed by Users through the Platform, excluding chat messages processed through Third-Party Services unless explicitly authorized.
PDPA
The Personal Data Protection Act B.E. 2562 (2019) of Thailand and any regulations, notifications, or amendments issued thereunder.
3. Scope of Service
We provide an AI-powered chatbot platform with the following key features and limitations:
3.1 Services Included
- AI chatbot creation and management tools
- Integration with major social media platforms (LINE, Facebook, Instagram, etc.)
- Natural language processing and machine learning capabilities
- Analytics and reporting features for chatbot performance
- Technical support and documentation
- Platform hosting and maintenance
3.2 Services Not Included
- Content creation or copywriting services
- Social media account management
- Third-party platform compliance management
- Legal advice or compliance consulting
- Data migration from other platforms (unless explicitly contracted)
- Custom software development outside the Platform scope
- 24/7 technical support (unless specified in service level agreement)
3.3 Data Handling Limitations
- Our Platform securely stores and encrypts limited data to improve service quality and reliability.
- We do not analyze, process, or use chat content from Third-Party Services beyond essential operational needs.
- Chat logs and user interactions on Third-Party Services remain under the jurisdiction and policies of those platforms.
- We only handle configuration data, encrypted metadata, and content explicitly authorized by you.
- You remain responsible for compliance with Third-Party Service terms and data protection requirements.
- Any data handling beyond standard encrypted storage and operational use requires your explicit written authorization.
4. Data Handling and Privacy Compliance
We are committed to protecting your privacy and complying with applicable data protection laws:
4.1 Data Minimization Principle
We collect and process only the minimum personal data necessary to provide our Services, in accordance with PDPA principles. This includes your account information, platform usage analytics, and technical logs required for service operation.
4.2 Third-Party Service Data
Our Platform integrates with Third-Party Services and may securely store and encrypt limited data from these services to enhance reliability and user experience. However, we do not automatically analyze or process chat content from Third-Party Services. Any access or handling of such content beyond secure storage requires your explicit authorization and is governed by additional terms and privacy protections.
4.3 Data Retention
- Account data: Retained during active subscription for legal compliance
- Usage analytics: Retained for service improvement purposes
- Technical logs: Retained for security and troubleshooting
- Explicitly authorized Third-Party content: Retained as specified in separate data processing agreements
- Billing records: Retained years in compliance with Thai Accounting Act
4.4 User Rights Under PDPA
- Right to access personal data and processing information
- Right to correct inaccurate or incomplete data
- Right to delete personal data (subject to legal retention requirements)
- Right to data portability for user-generated content
- Right to object to processing for direct marketing purposes
- Right to withdraw consent for voluntary data processing
5. Account Creation and Acceptable Use
You must create and maintain your account in accordance with these terms and acceptable use policies:
5.1 Account Registration
- You must provide accurate and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- Only one account per user or organization unless explicitly authorized by us
- You must be at least 18 years old or represent a legal entity with authority to enter contracts
5.2 Acceptable Use Policy
- Use our Platform only for lawful business purposes
- Comply with all applicable laws, regulations, and third-party terms of service
- Not use our Platform to transmit harmful, offensive, or illegal content
- Not attempt to circumvent our platform security measures or access restrictions
- Not use our Platform for spamming, phishing, or other malicious activities
- Not reverse engineer, decompile, or attempt to extract source code from our Platform
- Not resell, redistribute, or create derivative works from our Platform without our authorization
5.3 Account Suspension and Termination
- We may suspend accounts for violation of these terms
- You will receive written notice of suspension with reason and remedy options
- If suspended, you may appeal our decisions through formal dispute resolution procedures
- Terminated accounts forfeit access to Platform features and data (subject to legal retention)
- You may terminate your account at any time with 30 days written notice
6. Fees, Payment Terms, and Refund Policy
We operate on a subscription-based model with clearly defined payment terms:
6.1 Fee Structure
- Subscription fees are charged monthly or annually as selected by you
- Usage-based fees may apply for premium features or API calls exceeding your plan limits
- Setup fees may apply for custom integrations or enterprise implementations
- All fees are stated in Thai Baht (THB).
- Fee changes require 60 days advance written notice to you as our existing subscriber
6.2 Payment Terms
- Subscription fees are payable in advance on the billing cycle commencement date
- Payment methods include credit card, bank transfer, and other approved methods
- Late payments may result in service suspension after 15 days grace period
- Overdue accounts may be charged interest at 1.5% per month or maximum rate allowed by law
- You are responsible for all applicable taxes, duties, and government fees
6.3 No-Refund Policy
We operate a strict no-refund policy, except in the following limited circumstances:
Exceptions:
- Proven system failure: Complete service unavailability for more than 72 consecutive hours due to our fault
- Billing error: Incorrect charges due to our billing system errors
- Unauthorized charges: Charges processed without your valid authorization
- Service non-delivery: Failure to deliver contracted services within agreed timeframes
- Legal requirement: Refunds required by applicable consumer protection laws
Conditions:
- Refund requests must be submitted within 30 days of the billing date
- Users must provide documentation supporting the refund claim
- Refunds are processed within 30 days of approved claim
- Refunds are issued in the original payment method when possible
- Partial refunds may apply for partial service periods
7. Limitation of Liability and Disclaimers
Our liability is limited as follows, to the maximum extent permitted by Thai law:
7.1 General Liability Limitations
Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you for our Services in the 12 months preceding the claim.
7.2 Specific Limitation Cases
We shall not be liable for damages or losses arising from:
- 1Third-Party Service Failures: Downtime, data loss, or service interruptions caused by Third-Party Services (LINE, Facebook, Instagram, etc.) including but not limited to API changes, service discontinuation, or policy violations
- 2AI Model Accuracy: Incorrect, inappropriate, or unintended responses generated by AI models, including but not limited to offensive content, factual errors, or failure to understand user intent
- 3Data Integration Issues: Problems arising from integration with your systems, including data corruption, sync failures, or compatibility issues with your infrastructure
- 4Regulatory Compliance: Your failure to comply with applicable laws, regulations, or Third-Party Service terms, including but not limited to PDPA violations, content policy breaches, or jurisdictional restrictions
- 5Business Interruption: Lost profits, business opportunities, or operational disruptions resulting from temporary service unavailability, scheduled maintenance, or force majeure events
7.3 Service Disclaimers
- Our Services are provided 'as is' and 'as available' without warranties of any kind
- We provide no warranty regarding uninterrupted, error-free, or secure service operation
- We provide no warranty regarding compatibility with all Third-Party Services
- You acknowledge that AI technology may produce unpredictable or unintended results
- We do not guarantee specific business outcomes or performance metrics
8. Intellectual Property Rights
Intellectual property ownership and licensing terms are defined as follows:
8.1 Company Intellectual Property
- Our Platform, including software, algorithms, and AI models, remains our property
- All trademarks, logos, and brand materials are owned by us
- Our Platform documentation, user interfaces, and technical architecture are proprietary
- You receive only a limited license to use our Platform during your subscription term
- No source code, proprietary algorithms, or technical specifications are transferred to you
8.2 User Intellectual Property
- You retain ownership of your original content, data, and pre-existing intellectual property
- You grant us a limited license to process your content for service delivery
- Your custom chatbot configurations and conversation flows remain your property
- Your business data, customer lists, and confidential information remain your property
- You are responsible for ensuring you have rights to any third-party content used
8.3 License Terms
- Your license to our Platform is non-exclusive, non-transferable, and revocable
- Your license terminates automatically upon subscription termination or breach of terms
- You may not sublicense, assign, or transfer your access rights to third parties
- Our license to your content is limited to service provision and terminates upon account closure
- Both parties' intellectual property rights survive termination of these Terms
9. Service Termination
Either party may terminate the service relationship under specified conditions:
9.1 Termination by User
- You may terminate your subscription at any time with 30 days written notice
- Termination takes effect at the end of your current billing period
- You remain liable for all charges incurred prior to termination
- No refunds are provided for unused subscription periods (subject to refund policy exceptions)
- You may export your data during a 30-day grace period following termination
9.2 Termination by Company
- We may terminate for material breach of these Terms with 30 days notice to cure
- Immediate termination is permitted for serious violations including illegal use or security threats
- We may terminate with 90 days notice for business reasons or service discontinuation
- You will receive written notice explaining termination reasons and effective date
- If terminated, you may appeal our decisions through the dispute resolution process
9.3 Effects of Termination
- Your access to our Platform ceases immediately upon termination effective date
- All outstanding invoices become immediately due and payable
- Your data is retained for 30 days to allow export, then permanently deleted
- Confidentiality obligations and intellectual property rights survive termination
- Both parties are released from future performance obligations except payment duties
10. Governing Law and Dispute Resolution
These Terms are governed by Thai law with specific dispute resolution procedures:
10.1 Applicable Law
These Terms of Service are governed by and construed in accordance with the laws of the Kingdom of Thailand, including but not limited to the Civil and Commercial Code, the Personal Data Protection Act B.E. 2562 (2019), and the Computer Crime Act B.E. 2550 (2007) as amended.
10.2 Dispute Resolution Procedure
- 1Negotiation: Parties must first attempt to resolve disputes through good faith negotiation for 30 days
- 2Mediation: If negotiation fails, disputes shall be submitted to mediation by the Thailand Arbitration Institute
- 3Arbitration: Unresolved disputes shall be finally settled by arbitration under Thai Arbitration Institute rules
- 4Seat of Arbitration: All arbitration proceedings shall be conducted in Nonthaburi, Thailand
- 5Language: Arbitration proceedings shall be conducted in Thai and English languages
10.3 Exceptions to Arbitration
- Intellectual property disputes may be brought before competent Thai courts
- Urgent injunctive relief may be sought from Thai courts pending arbitration
- Small claims not exceeding 50,000 THB may be brought before competent local courts
- Criminal matters must be reported to appropriate law enforcement authorities
11. Miscellaneous Provisions
Additional terms and conditions applicable to these Terms of Service:
11.1 Amendments
We may modify these Terms by providing 60 days advance notice to you. Your continued use of our Services after the effective date constitutes acceptance of the modified Terms. If you do not accept modifications, you may terminate your subscription without penalty.
11.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them enforceable.
11.3 Waiver
No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision. No waiver shall be effective unless in writing and signed by the waiving party.
11.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with 30 days notice to you.
11.5 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Service Level Agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
